1.1. Scope. These Terms apply to all use of Services and Software provided through the website [www.designgpt.ai] (the "Site") by Insidelogc Pvt Ltd, a Private Limited Company incorporated in India under CIN No. U72900GJ2016PTC093490, GST NO. 24AAECI2681Q1Z4, with registered office at 205-206, Hem Arcade, Dr. Yagnik Road, Rajkot, Gujarat - 360001 (referred to as "we", "us", "our").
1.2. Acceptance. By creating an account, purchasing tokens, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to these Terms.
1.3. Legal Capacity. You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
1.4. Amendments. We may update these Terms at any time without prior notice. The version in effect at the time of your use or purchase shall apply.
2.1. Primary Language. The Terms are drafted in English. Any translations provided are for convenience only and are not legally binding.
3.1. Services. DesignGPT provides multi-modal AI tools, including but not limited to:
3.2. Token System. Access to Services requires tokens. Token = ₹1 INR, Minimum token purchase: 300 tokens (₹300) valid for 1 month, Annual package: 2400 tokens (₹2400) valid for 12 months, Tokens are non-refundable, non-transferable, and expire at the end of the validity period.
3.3. Choice of Services. The responsibility for selecting and using Services lies solely with you. We are not liable for the suitability of outputs for your specific needs.
3.4. AI Generated Content. All outputs generated (images, videos, speech, logos, posts, etc.) are based on your inputs and prompts. We do not guarantee accuracy, originality, or fitness for a particular purpose.
4.1. Prices. Prices are stated in Indian Rupees (INR) and inclusive of GST unless otherwise specified.
4.2. Modifications. We reserve the right to change pricing, token packages, or subscription plans at any time.
4.3. Payment. Payment must be made in full before tokens are credited. Payments are accepted via methods displayed on the Site.
4.4. Security. Transactions are encrypted using industry-standard SSL technology.
4.5. Refunds. Except as required by law, payments for tokens or subscriptions are non-refundable.
5.1. Digital Delivery. Tokens and Services are delivered digitally to your registered account. No physical product will be shipped.
5.2. Access. Services can be accessed during the validity period of purchased tokens or subscriptions.
5.3. Risk. You are responsible for maintaining secure access to your account. We are not liable for unauthorized use of your tokens.
6.1. Technical Support. Support is provided via email or chat during standard working hours. Availability may vary.
7.1. User Cancellation. You may stop using Services at any time. However, no refunds will be provided for unused tokens or subscriptions.
7.2. Company Termination. We reserve the right to suspend or terminate your account if you breach these Terms, misuse Services, or engage in unlawful activities.
8.1. Lawful Use. You agree not to use the Services for unlawful, harmful, defamatory, obscene, or infringing purposes.
8.2. Content Ownership. You retain ownership of the prompts and content you provide. However, you grant us a limited license to process such inputs to generate outputs.
8.3. AI Output Usage. You are solely responsible for how you use AI-generated outputs. DesignGPT does not guarantee exclusivity or originality and is not liable for any copyright or third-party claims.
9.1. No Guarantee. AI outputs may contain errors, biases, or inaccuracies. Services are provided "as-is" without warranties of any kind.
9.2. Indirect Losses. We are not liable for any loss of profits, business, goodwill, or data arising from the use of Services.
9.3. Maximum Liability. Our total liability, whether in contract, tort, or otherwise, shall not exceed the total amount you paid for tokens in the 3 months prior to the claim.
10.1. Data Collection. We collect account details (name, email, phone, payment info) for the purpose of providing Services.
10.2. Security. We take reasonable steps to safeguard your personal data.
10.3. Privacy Policy. Your use of the Services is also governed by our Privacy Policy, available on the Site.
11.1. Ownership. All rights in the Software, algorithms, and Services belong to Insidelogic Pvt. Ltd.
11.2. Restrictions. You may not copy, reverse-engineer, distribute, or modify the Software.
11.3. Outputs. Subject to third-party rights, you may use outputs generated by the Services for personal or commercial purposes, provided you comply with applicable laws.
12.1. Jurisdiction. These Terms are governed by the laws of India.
12.2. Venue. Courts located in Rajkot, Gujarat shall have exclusive jurisdiction over any disputes.
13.1. Entire Agreement. These Terms constitute the entire agreement between you and us.
13.2. Severability. If any provision is found invalid, the rest shall remain enforceable.
13.3. No Waiver. Our failure to enforce a right does not constitute a waiver.
13.4. Assignment. You may not transfer your rights under these Terms without our prior written consent.
14.1. Definition. "LOB (Hosted License)" refers to the Line-of-Business usage of DesignGPT's Services and Software under a hosted model, where enterprise clients or organizations access and use the platform for their internal business purposes via our servers (cloud/hosted infrastructure), without ownership or transfer of the Software.
14.2. Grant of License. We grant the enterprise client a non-exclusive, non-transferable, limited license to access and use DesignGPT's Services for internal business operations. The license is hosted, meaning the Software remains installed, managed, and maintained by us, and is only accessible via online accounts or designated access points.
14.3. Restrictions. Clients may not resell, sublicense, or redistribute access to the Software. Reverse-engineering, modifying, or attempting to self-host the Software is strictly prohibited. Use is limited to the number of authorized users agreed upon in the enterprise contract.
14.4. Support & SLA. Enterprise/LOB customers will receive priority support and may be provided with specific Service Level Agreements (SLAs) regarding uptime, response times, and dedicated support, as specified in their separate LOB contract.
14.5. Payments & Billing. LOB licenses are billed separately from token-based individual subscriptions. Payment terms, billing cycles, and renewal conditions will be defined in the executed enterprise agreement.
14.6. Data Ownership & Confidentiality. All input data and generated outputs belong to the enterprise client, subject to third-party rights and applicable law. We will not use client data for training or external purposes unless expressly agreed in writing.
14.7. Termination of LOB License. Either party may terminate the hosted license with written notice, as per the enterprise agreement. Upon termination, all enterprise access will be revoked, and data may be retained or deleted as per the data retention policy defined in the agreement.
14.8. Precedence of LOB Agreement. In case of conflict between these General Terms and the enterprise LOB Hosted License Agreement, the LOB agreement shall prevail.
